Philip Fayer, Chair and Chief Executive Officer

Mr. Fayer is the founder of Nuvei and serves as its Chairman and Chief Executive Officer. A seasoned entrepreneur, Mr. Fayer has over 20 years of experience in the electronic payments industry. Mr. Fayer founded Pivotal Payments (now Nuvei) in 2003. Under his leadership, the Company expanded organically and through strategic acquisitions. With the acquisition of SafeCharge in 2019, Nuvei grew its geographic footprint and broadened its technology and service offering to large scale merchants in over 200 global markets. In 2020, Nuvei was named one of Deloitte Canada’s Best Managed Companies. Mr. Fayer’s business skills, industry knowledge and leadership are broadly recognized. In 2009, he was named one of Canada’s Top 40 Under 40™ and in 2019, he was awarded the Ernst & Young Entrepreneur Of The Year ® for Québec in the FinTech category. Mr. Fayer attended Concordia University, in Montreal, Québec. Through a foundation with his wife, Mr. Fayer devotes time for several charities, including with respect to youth unemployment and cancer research.

David Schwartz, Chief Financial Officer and Corporate Secretary

Mr. Schwartz has been Nuvei’s Chief Financial Officer since November 2018. Prior to Nuvei, Mr. Schwartz was a senior executive of The Aldo Group, a leading footwear and accessories retailer, ultimately being appointed Chief Financial Officer in 2015. Previously, Mr. Schwartz held senior financial executive roles at Optimal Payments including Chief Financial Officer. Mr. Schwartz started his career at PricewaterhouseCoopers LLP where he held positions in Assurance and Financial Advisory Services. Mr. Schwartz holds a Bachelor of Commerce from McGill University. He is a chartered professional accountant and has been a member of the Ordre des comptables professionnels agréés du Québec (CPA, CA) since 1996. In addition, he is a Chartered Financial Analyst (CFA).

Allan Lacoste, Executive Vice President, Partnership Group, North America

Mr. Lacoste has been the Executive Vice-President, Partnership Group, North America of Nuvei, since October 2018. Mr. Lacoste first joined Nuvei in 2017, previously serving as Senior Vice-President of Sales & Marketing and as Vice-President, where he was responsible for managing the overall growth of the North American Sales Partner division. Prior to joining Nuvei, Mr. Lacoste served as ISO Director at Total Merchant Services where he led the ISO and Sales Partner Channel. Mr. Lacoste has also held leadership roles with Cardservice International and North American Bancard. Mr. Lacoste holds a Computer Science degree from The University of Scranton.

Amy Satov, Senior Legal Counsel

Ms. Satov has been the Senior Legal Counsel of Nuvei since April 2020. Prior to joining Nuvei, Ms. Satov was Chief Executive Officer for Litron Distributors Ltd. and of BL Solutions Inc., which acquired Litron. Previously, Ms. Satov was Executive Vice President, Distribution, Legal & Compliance, and Corporate Secretary at Dundee Wealth. Ms. Satov serves as Chair of the Corporate Governance Committee and a board member of Osisko Mining Ltd; Chair of the Compensation Committee and a board member of O3 Mining Inc.; and Chair of the Compensation Committee and a board member of Osisko Metals Inc. Ms. Satov holds a Bachelor of Laws and Masters in Business Administration from Dalhousie University and a Bachelor of Arts from McGill University.

Craig Ludwig, Senior Vice President, Products

Mr. Ludwig has been the Senior Vice President, Products since 2018. Prior to joining Nuvei, Mr. Ludwig was Chief Strategy Officer of iMobile3. Previously, he spent 18 years at TSYS Merchant Solutions, holding the positions of President of Golden Retriever Systems, Director of Product Management and Strategy, Group Executive Product Management, Senior Vice President of Product Management and Strategy and Senior Director, Head of Product. Mr. Ludwig holds a Bachelor of General Studies in Computer Applications and Business and Computer Science from Louisiana Tech University.

Edi Kadashev, Chief Information Officer, Digital Payments

Mr. Kadashev has been Chief Information Officer, Digital Payments, since November 2019, after having joined SafeCharge in November 2015. At SafeCharge, Mr. Kadashev held the positions of Vice-President Information Technology and Global IT Manager. Prior to joining SafeCharge, Mr. Kadashev spent 7 years as an Infrastructure Team Leader for 888.com. Previously, Mr. Kadashev was a Senior Solutions Architect at EMC, a Lotus Notes Administrator at Teva Pharmaceuticals, and a Lotus Notes Administrator and Team Manager at Ernst & Young.

Edward (Ed) Garcia, Chief Operating Officer, North America

Mr. Garcia has been the Chief Operating Officer, North America since December 2015. He first joined the Company in 2015 as Head of Operations. Prior to joining Nuvei, Mr. Garcia was Senior Vice President of Operations and Reengineering at Vantiv (now World Pay). Previously, Mr. Garcia worked for Global Payments (now Total System Services (TSYS)), holding various positions including Director of Business Expansion, Director of Global Product Marketing, Implementation Director, and Head of Business Operations. Prior to Global Payments, Mr. Garcia held senior leadership positions at Citigroup, American Express, and Visa International. He holds an MBA from Concordia College and is a graduate of the Harvard Business School’s Executive Management Program, the American Bankers Association School of Bank Card Management, and is a certified Six Sigma Black Belt.

Jocelyne Gagnon, Vice President, Human Resources

Ms. Gagnon is the Vice President of Human Resources of Nuvei, a position she has held since December 2017. She first joined the Company in 2003 as Director, Human Resources. During her tenure at Nuvei, Ms. Gagnon has held positions relating to the integration and development of human capital, handling talent management, labour policies and procedures and serving to reinforce company culture. Prior to joining Nuvei, she worked for various Canadian IT organizations in an HR management role. She has a degree in Human Resources Management from McGill University and has been a member of the Québec Order of Human Resources since 1990.

Keith Birdsong, Chief Technology Officer

Mr. Birdsong has been Nuvei’s Chief Technology Officer since September 2010. Prior to joining Nuvei, Mr. Birdsong was Director of IT Applications for United American Insurance (Torchmark). Previously, Mr. Birdsong spent 8 years at Heartland Payment Systems in technical leadership positions and was the Executive Director of Software Development. Additionally, he spent 13 years at Electronic Data Systems in a number of technical and leadership roles including System Engineering Manager. Mr. Birdsong holds a Bachelor of Business Administration in Business Analysis from Texas A&M University.

Mark Pyke, President, North America

Mr. Pyke joined Nuvei in 2018 as President, North America. Prior to joining Nuvei, Mr. Pyke worked as a strategic consultant. Previously, Mr. Pyke served as President of the Merchant Segment at Total System Services (TSYS) and President of Payments Acquisition Management. Mr. Pyke was President of Merchant Services at Bank of America after Bank of America acquired National Processing Company, having served as Chief Operating Officer of National Processing Company during his 9 year tenure. Previously, Mr. Pyke was the Vice President and Chief Credit Officer at NaBANCO, a subsidiary of First Data Corporation. Mr. Pyke holds a Master of Business Administration from the University of Michigan and a Business Administration degree from Northeastern University.

Max Attias, Chief Operating Officer, Digital Payments

Mr. Attias has been Chief Operating Officer, Digital Payments, since November 2019, after having joined SafeCharge in September 2018 as its Chief Information Officer. Prior to joining SafeCharge, Mr. Attias served as Chief Information Officer Site Manager at TATA Consulting Services, where he managed Yahav Bank’s full IT operations platform. Previously, Mr. Attias held the roles of Research & Development Site Manager at the Israel Development and Engineering Center for Barclays Bank and Director of IT and Operations for BluePhoenix. Mr. Attias was a paratrooper and a sniper in the Israel Defense Force, and served 18 years in the military reserved services. He holds multiple technology certificates and is completing his B.A in Social Science at the Open University.

Moredechay (Motie) Bring, Chief Commercial Officer, Digital Payments

Mr. Bring joined Nuvei as Chief Commercial Officer in September 2020. Prior to joining Nuvei, Mr. Bring had been at WorldPay since 2013, most recently as General Manager, EMEA Global Enterprise eCommerce. Previous roles at WorldPay include General Manager (United Kingdom) and Vice President Gambling and Digital. From 2006 to 2013 he held the position of Head of Risk, Payments and Compliance at PKR and the position of Director, Risk Management at Cryptologic from 2004 to 2006. Mr. Bring holds a master’s degree in International Conflicts Analysis from the University of Kent and a Bachelor degree in Communications and Media Studies from the Holon Institute of Technology.

Ofer Nissim, Chief Information Security Officer, Digital Payments

Mr. Nissim has served as the Chief Information Security Officer, Digital Payments, since joining SafeCharge in May 2019. Prior to SafeCharge, Mr. Nissim was the Information Security Manager at Discount Bank. Previously, he served as the Chief Technology Officer and Cyber Security Leader of Enterprise Service in Hewlett Packard Enterprise (HPE) Israel. Mr. Nissim also served as a Security Solution Architect and a Security Consulting and Integration Consultant for Hewlett Packard. Mr. Nissim was previously a Network and Systems Manager for Compaq. He achieved the Certified Information Systems Security Professional (CISSP) designation from ISC2 and completed Certified Information Security Manager (CISM) training from ISACA. Mr. Nissim also holds Cisco Certified Network Associate (CCNA) and Microsoft Certified Solutions Associate (MCSA) certifications.

Philip Atherton, Global Compliance Officer

Mr. Atherton became Nuvei’s Global Compliance Officer in January 2020, after having previously joined SafeCharge in May 2016 as its Chief Risk Officer. In addition, he is a director of SafeCharge Limited and SafeCharge (UK) Limited, as well as a managing director of SafeCharge Financial Services Limited. Prior to joining SafeCharge, Mr. Atherton was Payment Networks Director at Barclaycard, Head of Scheme Compliance and Management at Worldpay, and Head of Compliance and Scheme Management at RBS Worldpay.

Praful Morar, Chief Strategy Officer, Digital Payments

Mr. Morar has been Chief Strategy Officer since October 2018. He also serves as principal director of certain SafeCharge subsidiaries in the U.K. as well as subsidiaries in Hong Kong, Singapore and Mexico. He first joined SafeCharge in 2014, previously serving as Executive Vice President Corporate Development & Strategy. He joined SafeCharge from Worldpay, where he served as Vice President of Vertical Market Strategy and as General Manager & Vice President of Business Development APAC. He also participated in the strategic team which steered WorldPay’s divestment from the Royal Bank of Scotland to Advent International and Bain Capital in 2010.

Shemer Katz, Senior Vice President Human Resources and Managing Director, SafeCharge Israel

Mr. Katz has been the Senior Vice President, Human Resources at SafeCharge, since November 2017. Mr. Katz has also served as the Managing Director of SafeCharge’s Israeli subsidiary since February 2014. He was previously Chairman of CreditGuard, which SafeCharge acquired in 2014. Mr. Katz joined SafeCharge in 2012 as VP of Product and Marketing. Previously, he held executive positions at several AdTech start-ups, including Chief Executive Officer of Reimage. Prior to that, Mr. Katz led technology, product and marketing teams from Jacada and at Verint Systems Inc. Mr. Katz served for 9 years as an engineer in the army in the technology unit 8200 of Israel Defense Force. Mr. Katz holds a BSc and MSc in Electrical Engineering from the Tel-Aviv University.

Yuval Ziv, Managing Director, Digital Payments

Mr. Ziv has served as Managing Director, Digital Payments since October 2019 after first joining SafeCharge in 2008. Over the course of his tenure at SafeCharge, Mr. Ziv held the positions of Chief Operating Officer, Chief Commercial Officer, Managing Director, and Vice President Business Development, in addition to serving as a board member and as the Vice President of Operations and Business Development at the Gate2shop division. Prior to joining SafeCharge, Mr. Ziv was an Operation Manager at FTS (Formula Telecom Solution), a Budget and Control Manager for MAFIL Ltd., and an Analysis team leader for Cellcom Ltd. Mr. Ziv holds a Master of Laws and a Bachelor in Economics and Business from Bar-Ilan University.
