Mr. Zabaneh is a seasoned financial and operations executive with years of experience in the global fintech industry. He was appointed to Nuvei’s Board in March 2022 and also serves on the Company’s Audit Committee. Mr Zabaneh has previously served in executive leadership roles at First Data Corporation (now Fiserv Inc.), Heartland Payments Systems (now Global Payments Inc.) and Moneris Solutions Corporation. Mr. Zabaneh is currently the CEO and Chair of TouchBistro Inc., an all-in-one point of sale and restaurant management software provider. Mr. Zabaneh also serves as a member of the Board of Directors and Audit Committee of payments software company ACI Worldwide, Inc.

Mr. Dent is a former executive with over 20 years of online gaming experience. Previously he was the Chief Financial and Chief Compliance Officer at DraftKings, joining the company at a very early stage and building those functions during its rapid growth. While at DraftKings, Mr. Dent also built and oversaw the legal and legislative affairs departments, risk management and payments functions. Prior to joining DraftKings, Mr. Dent held multiple executive leadership roles at Everest Gaming, a once leading online European poker and casino operator. During his tenure at Everest, he led many efforts in all of stages of the company’s lifecycle from startup, to rapid revenue growth and market expansion, and its transition from an unregulated to regulated operating environment.

Ms. Lau is Regional Vice President at Meta for Latin America, helping brands leverage the company's platforms to drive long-term business results in the region, and to prepare for the metaverse, the next evolution of social connection. She also leads the regional teams to advance Meta’s mission — giving people the power to build communities and bring the world closer together — with positive economic and social impact in the region. Prior to this, Ms. was a founding partner and CMO at digital marketing company IMS, where she built a regional business scaling sales and marketing strategies for leading global technology companies throughout Latin America.

Mr. Lewin is a Senior Partner of the TMT Group of Novacap. He has served as a board member of Eddyfi NDT Inc. since February 2020 and of Nuvei since September 2017. Mr. Lewin has extensive board experience having sat on the boards of numerous private companies including PKWare, Inc., Firmex Inc., Onstream Pipeline Inspection Service Inc., Syntax Systems Limited, and Intelerad Medical Systems Inc. Prior to joining Novacap in 2011, Mr. Lewin was a Manager at PSP Investments in Montreal where he was involved in the evaluation and execution of private equity transactions. Mr. Lewin additionally worked in investment banking at National Bank Financial Markets where he focused on the technology, media and telecom sector. Mr. Lewin holds a Master of Business Administration from McGill University and a Bachelor in Business and Administration from HEC Montreal.

Ms. Mielke is the Managing Partner of Commerce Technology Advisors, LLC, a privately held consulting firm, which she founded in 2016. She has nearly 30 years of experience in the financial services industry in positions including: Chief Strategy and Product Officer at Vantiv, VP, Head of Global Strategy and Market Intelligence for PayPal Inc., Engagement Manager for McKinsey & Company, among others. Ms. Mielke currently serves as a member of the board of Bancorp Inc. and Finca International, a global NGO dedicated to alleviating poverty. Previously, she served as a member of the board of GCPS, a multinational joint venture of commercial card issuing banks. Ms. Mielke holds a Master of Business Administration in International Management from the IMD Business School, a Master of Science in Economics from the University of Fribourg, as well as a Bachelor’s degree in Hotel and Restaurant Management from the École hôtelière de Lausanne.

Mr. Tremblay is the President and Chief Executive Officer of Novacap Management Inc. and the Managing Partner of the TMT Group of Novacap. Mr. Tremblay has been involved in funding, managing and developing technology companies for over 25 years. Prior to joining Novacap, Mr. Tremblay was a Partner at Argo Global Capital, a venture capital firm where he participated in numerous investments in technology and telecommunications companies around the world. Previously, he worked in the private equity division at CDP Capital (Caisse de dépôt et placement du Québec). Prior to entering the private equity field, Mr. Tremblay was Founder and CEO of Laserpro, an award-winning manufacturing and distribution company of printing and computer equipment. Mr. Tremblay also serves as Chair of the audit committee and a member of the Board of Directors of Stingray Group Inc. Mr. Tremblay studied corporate finance at UConn (University of Connecticut), and he holds a Bachelor in Business Administration, Finance and Accounting from the University of Sherbrooke, Québec and an MBA in finance and international business from McGill University, Montreal, Québec.

Mr. Fayer is the founder of Nuvei and serves as its Chairman and Chief Executive Officer. A seasoned entrepreneur, Mr. Fayer has over 20 years of experience in the electronic payments industry. Mr. Fayer founded Pivotal Payments (now Nuvei) in 2003. Under his leadership, the Company expanded both organically and through strategic acquisitions (the most high profile ones being SafeCharge in 2019 and Paya in 2023) and is now a B2C and B2B payment leader helping customers transact and connect with their customers all around the world in any currency. In 2020, Nuvei was named one of Deloitte Canada’s Best Managed Companies. In 2009, he was named one of Canada’s Top 40 Under 40™ and in 2019, he was awarded the Ernst & Young Entrepreneur Of The Year ® for Québec in the FinTech category. Mr. Fayer attended Concordia University, in Montreal, Québec. Through a foundation with his wife, Mr. Fayer devotes time for several charities, including with respect to youth unemployment and cancer research.
